1. Acceptance of Terms

By accessing and using the services provided by Meadowcrest Waypoint ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Meadowcrest Waypoint provides lead generation and online advertising services, including but not limited to:

• AI-powered lead identification and qualification
• Social network integration and amplification
• Online advertising campaign management
• Performance analytics and reporting
• Campaign optimization services

3. Service Agreement and Pricing

Our services are provided on a per-lead basis with pricing tiers of $40, $50, or $60 per qualified lead, depending on the selected advertising channels and service level. Specific terms, including lead qualification criteria, will be outlined in individual service agreements.

Payment terms and conditions will be specified in your service agreement. All fees are non-refundable unless otherwise specified in writing.

4. Client Responsibilities

Clients agree to:

• Provide accurate and complete information about target audiences and business goals
• Respond to qualified leads in a timely and professional manner
• Comply with all applicable laws and regulations in their use of generated leads
• Maintain appropriate sales processes to handle qualified leads
• Provide feedback on lead quality to help optimize campaigns

5. Data Privacy and Security

We take data privacy and security seriously. Our collection, use, and protection of personal information is governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

We implement industry-standard security measures to protect client data and social network connections. However, no method of transmission over the internet is 100% secure.

6. Intellectual Property

All intellectual property rights in our platform, technology, algorithms, and methodologies remain the exclusive property of Meadowcrest Waypoint. Clients receive a limited, non-exclusive license to use our services during the term of their agreement.

7. Lead Quality and Guarantees

While we use advanced AI and machine learning to identify high-quality leads, we cannot guarantee specific conversion rates or business outcomes. Lead quality is determined by our proprietary scoring algorithms and qualification criteria agreed upon in individual service agreements.

We reserve the right to refund or replace leads that do not meet agreed-upon qualification criteria, subject to verification and our standard quality assurance processes.

8. Limitation of Liability

To the maximum extent permitted by law, Meadowcrest Waypoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for services in the twelve months preceding the claim.

9. Termination

Either party may terminate the service agreement with written notice. Upon termination, clients remain responsible for payment of all services provided up to the termination date. We will cease lead generation activities within 48 hours of receiving termination notice.

10. Compliance and Legal Requirements

Clients must ensure their use of our services complies with all applicable laws, including but not limited to:

• CAN-SPAM Act and other anti-spam regulations
• TCPA (Telephone Consumer Protection Act)
• GDPR and other data protection regulations
• Industry-specific regulations applicable to their business

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Texas.
